How a Tesla Buyout Can Happen

He did say he had secured the funding at $420 per share, 19% above Thursday's closing price.

It's possible Musk could persuade some large institutional and strategic investors to either newly become or remain shareholders in the private company, which could reduce his funding needs, said Toni Sacconaghi, an analyst at Bernstein who has always been bearish on Tesla shares.

If Tesla were to be taken private at the tweeted price of $420, the deal would be worth more than $80 billion and would represent one of the largest deals of this kind on record. At the same time, Musk's behavior could easily be framed as illicit stock market manipulation.

The tweets intensified the SEC's probe, since it was already investigating his public statements about order volume and revenue, according to reports. The board, which said Wednesday that there had been discussions of going private, has also not seen any plans, Reuters reported. "Funding secured", Musk tweeted, without elaboration or any corroboration from the company.

My reason for supporting a private Tesla is that, in my experience, there simply is no public market appetite for transformation and Elon has expressed a vision for Tesla that goes far beyond being the nascent mass-market alternative engine technology vehicle company that it is today. And being public means a lot of people have incentive to attack the company, particularly investors who bet Tesla's stock will decline, a process known as shorting.

Elon Musk, CEO of SpaceX and Tesla, is facing some backlash after calling a British diver involved in the Thai cave rescue a 'pedo'.

Musk has long battled publicly with short sellers of the stock.

Musk's use of Twitter to announce a huge deal also raised eyebrows, but that probably didn't violate any laws, Coffee and Henning said.

"If you are a believer in Elon, I would continue to hold onto those shares", said Michael Jurasic, a securities attorney at Ropes & Gray, who added that it's unclear exactly how Tesla's buyout would work. He even wrote that being a public company, they are ten to wild swings in their stock price and that can prove to be a key destruction for every person working at the Tesla, where all of them are shareholders.

The Palo Alto, California, company has only posted a quarterly profit twice in its history and has never made money during an entire calendar year, something that Musk has been trying to change by cutting costs, including recent mass layoffs that trimmed Tesla's workforce by 9 percent.

Some on Wall Street shared that view. He said that Tesla had not received such a notice, and that he had no expectation of raising new equity.

The stock spike after the earnings call led to Tesla short-sellers getting burnt by over US$2 billion.

In a Wednesday research note, Morgan Stanley analyst Adam Jonas estimated Tesla will end up taking on about $50 billion in additional debt if the company goes private.
